대리점계약 (Agency Agreement)은 계약당사자가 본인 대 대리인(Principal to agent) 의 관계에 서서, 즉 본인이 대리점에 본인의 대리인으로 행동하는 권한을 부여하여 당사자 사이의 의무와 권리를 정한 계약을 말한다.
대리점계약은 본인과 대리점의 내부관계를 규정한 것으로 본인과 대리점 사이에는 물품ㅁ매매가 이루어지지 않으며 매수인(buyer)은 따로 존재하게 된다.
따라서 대리점은 매도인을 대신하여 매매의 서비스를 행하고 이에 대한 보수, 즉 대리점 수수료를 받는다.

이 계약은 20__년 5월 15일에 U.S.A 뉴욕주에 법인으로 설립되고 310. Fifth Avenue. N.Y. 10018 U.S.A 에 본사를 가지고 있는 America Trading Co., Inc., 와 Korea Trading이 체결한 것이다.
WITNESSTH:
WHEREAS, "Company" manufactures and/or sells products and WHEREAS, "representative" desires to perform certain services on behalf of "Company" with respect to the following products: NOW THEREFORE in consideration of mutual condition and obligations hereinafter set forth, the partieshere to have agreed as follow:
